and
Nadalie Walsh, 2 Timber Ridge Lane Mansfield, IL 61854 nadaliew@illinois.edu (765)717-2672 ("Introducer”)
This Agreement is entered into on the date the contract is signed, by between Becky Beaulieu, operating as Championship Culture Coach LLC, ("Consultant"), and Nadalie Walsh ("Introducer").
WHEREAS, Consultant is engaged in the provision of consulting services specializing in culture coaching and mental performance coaching; and
WHEREAS, Introducer is in a position to introduce Consultant to potential clients within the Club, NCAA, and professional sports industry;
NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereto agree as follows:
INTRODUCTION AND COMMISSIONS
1.1 Introductions: Introducer agrees to introduce Consultant via email to professional sports teams, coaches, and general managers ("Teams") who may have an interest in engaging Consultant's culture coaching services.
1.2 Commissions:
a. For any Teams introduced by Introducer to Consultant via email or text that result in a signed contract between Consultant and the Team ("Initial Contract"), Introducer shall be entitled to receive ten percent (10%) of all future contracts entered into between Consultant and that particular Team ("Subsequent Contracts").
b. In the event that Introducer introduces Consultant via email or text to a coach, administrator, or general manager of a Team, and after subsequent meetings between Consultant and the Team, the Team expresses a high level of interest in engaging Consultant's culture consulting services, and Introducer follows up and closes the deal resulting in a signed contract between Consultant and the Team ("Closed Deal"), Introducer shall be entitled to receive twenty percent (20%) of all Subsequent Contracts entered into between Consultant and that particular Team.
2.PAYMENT
2.1 Payment Terms: Any commissions owed to Introducer pursuant to this Agreement shall be paid within thirty (30) days of Consultant's receipt of payment from the applicable Team for the services rendered under the Initial Contract or Closed Deal.
2.2 Method of Payment: Commissions shall be paid to Introducer via check.
3. TERM AND TERMINATION
3.1 Term: This Agreement shall commence on the Effective Date and shall continue in full force and effect until terminated by either party in accordance with the provisions herein.
3.2 Termination: Either party may terminate this Agreement upon thirty (30) days' written notice to the other party.
4. MISCELLANEOUS
4.1 Entire Agreement: This Agreement constitutes the entire understanding and agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements, negotiations, and understandings, whether written or oral, between the parties.
4.2 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of Wisconsin.
